2. Description of Service

GeoSeer provides AI-powered geolocation analysis services that identify and estimate locations from uploaded images. The Service includes:

• • Image analysis and geolocation identification
• • Interactive mapping and visualization tools
• • API access for programmatic integration (subject to plan limitations)
• • Analysis history and reporting features
• • Custom geographic boundary selection

3. User Accounts and Registration

To access certain features of the Service, you must create an account. You agree to:

• • Provide accurate, current, and complete information during registration
• • Maintain and promptly update your account information
• • Maintain the security and confidentiality of your account credentials
• • Notify us immediately of any unauthorized access or security breach
• • Accept responsibility for all activities occurring under your account
• • Be at least 18 years of age or have parental/guardian consent

4. Acceptable Use Policy

You agree not to use the Service to:

• • Violate any applicable laws, regulations, or third-party rights
• • Upload content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
• • Infringe upon intellectual property rights or proprietary rights of others
• • Transmit malware, viruses, or any malicious code
• • Attempt to gain unauthorized access to the Service or related systems
• • Reverse engineer, decompile, or disassemble any portion of the Service
• • Use the Service for surveillance, stalking, or harassment purposes
• • Scrape, spider, or use automated means to access the Service without authorization
• • Resell or redistribute the Service without explicit written permission

5. Intellectual Property Rights

Our Rights: The Service, including all software, algorithms, AI models, user interface designs, graphics, logos, and content (excluding User Content), is owned by Shenzhen Ques Technology Co., Ltd. and is protected by copyright, trademark, patent, and other intellectual property laws. All rights not expressly granted are reserved.

Your Rights: You retain all ownership rights to images and content you upload ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, analyze, and temporarily store your content solely for the purpose of providing the Service. This license terminates when your content is deleted from our systems.

6. Subscription Plans and Payment

Plan Types: The Service offers the following subscription plans:

• • Free Plan: 1 search per day on web, 10 total API calls, standard processing speed
• • Starter Plan ($19/month or $9/month billed annually): 100 web searches per month, 100 API calls per month, $0.20 per extra call, priority processing, priority support
• • Pro Plan ($69/month or $29/month billed annually): Unlimited web searches, 1,000 API calls per month, $0.20 per extra call, priority processing, priority support, early access to pre-release features
• • Enterprise Plan (Custom Pricing): For enterprise inquiries, please visit enterprise.geoseeer.com. Enterprise plans are handled through direct sales and are not processed through Paddle.

Payment Processing: Free, Starter, and Pro plan payments are processed securely through Paddle.com Market Limited, our authorized payment processor. By purchasing a subscription, you agree to Paddle's Buyer Terms of Service.

Billing: Paid subscriptions are billed in advance on either a monthly or annual basis, depending on the billing cycle you select at checkout. Annual subscriptions are charged as a single upfront payment for the full year. By subscribing, you authorize us to charge your payment method on a recurring basis. Prices are subject to change with 30 days' notice to existing subscribers.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period (month or year, depending on your plan), and you will retain access to paid features until that time. No partial refunds or pro-rated credits will be issued for unused time within a billing period.

Free Trial: A 14-day free trial is available for the Starter plan on the annual billing cycle only. Each user is eligible for one free trial. The trial converts to a paid annual subscription at the end of the 14-day period unless cancelled before the trial expires. You will be notified before any charges are made.

7. Refund Policy

No Refunds: All purchases and subscription payments are final and non-refundable. We do not offer refunds or pro-rated credits for any subscription plan, billing cycle, or unused portion of a billing period. This includes monthly subscriptions, annual subscriptions, and any extra call charges.

Free Trial as Try-Before-You-Buy: We offer a 14-day free trial on the Starter annual plan so you can evaluate the Service before committing to a paid subscription. We encourage all users to take advantage of the free trial and the Free plan to ensure GeoSeer meets their needs before purchasing.

Cancellation: You may cancel your subscription at any time to prevent future charges. Cancellation takes effect at the end of your current billing period, and no refund will be issued for the remaining time.

Exceptions: Refunds may be considered at our sole discretion in cases of verified billing errors or duplicate charges. To report a billing issue, please contact us at support@quesx.com.

Enterprise: Enterprise plan billing matters are handled on a case-by-case basis. For enterprise support, please visit enterprise.geoseeer.com.

8. Service Accuracy and Limitations

GeoSeer uses advanced AI technology to provide geolocation estimates. However, you acknowledge and agree that:

• • Results are AI-generated estimates and may not be 100% accurate
• • Location predictions should be independently verified for critical applications
• • Accuracy varies based on image quality, distinctive features, and available context
• • The Service is provided for informational purposes and should not be the sole basis for consequential decisions
• • We do not guarantee specific accuracy rates for individual analyses

9. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your privacy and handling your data in accordance with applicable data protection laws, including GDPR and CCPA where applicable. Please review our Privacy Policy to understand our data practices.

10. Service Availability and Modifications

Availability: We strive to maintain high service availability but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Modifications: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuance of the Service.

11. Disclaimers and Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• • Warranties regarding accuracy, reliability, or availability of the Service
• • Warranties that the Service will meet your requirements or expectations
• • Warranties that results will be error-free or that defects will be corrected

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHENZHEN QUES TECHNOLOGY CO., LTD. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• • Any indirect, incidental, special, consequential, or punitive damages
• • Loss of profits, revenue, data, or business opportunities
• • Service interruptions or errors in geolocation results
• • Unauthorized access to or alteration of your data
• • Third-party conduct or content on the Service

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Shenzhen Ques Technology Co., Ltd. and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

14. Termination

By You: You may terminate your account at any time through account settings or by contacting us.

By Us: We may suspend or terminate your account immediately, without prior notice, if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

Effect of Termination: Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Dispute Resolution and Governing Law

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms or the Service shall first be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to arbitration in Shenzhen, China, in accordance with the arbitration rules of the China International Economic and Trade Arbitration Commission (CIETAC).

Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

16. General Provisions

• • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service
• • Severability: If any provision is found unenforceable, the remaining provisions shall remain in effect
• • Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement
• • Assignment: You may not assign these Terms without our consent. We may assign these Terms to any affiliate or successor
• • Force Majeure: Neither party is liable for delays or failures due to circumstances beyond reasonable control

17. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email to your registered address or through prominent notice on the Service at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of the Service.
